Please read these Terms of Service carefully before using the TrailOps platform. By creating an account or using our services, you agree to be bound by these terms.
To use TrailOps you must register an account and provide accurate, complete information. You are responsible for maintaining the security of your login credentials. You must notify us immediately at security@trailops.co if you suspect unauthorised access to your account.
Each workspace is associated with one Customer organisation. You may not share access credentials across organisations or create accounts on behalf of others without their consent.
You agree to use the Platform only for lawful procurement and financial management activities. You must not:
TrailOps is offered on a subscription basis. Pricing is published at trailops.co/pricing and billed in Nigerian Naira (₦) unless otherwise agreed.
Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your Settings page. Cancellation takes effect at the end of the current billing period — we do not provide pro-rated refunds for unused time except where required by Nigerian consumer protection law.
We may change our pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
Accounts that remain unpaid for more than 14 days after a failed renewal attempt will be suspended. Data will be retained for 60 days before permanent deletion.
You retain full ownership of all Content you upload or create on the Platform. By using TrailOps, you grant us a limited licence to host, process and display your Content solely for the purpose of providing the service to you.
You are responsible for the accuracy and legality of the Content you upload — including vendor information, invoice details and payment instructions. TrailOps does not verify the accuracy of third-party documents submitted by your vendors.
TrailOps facilitates vendor payment disbursements through integrated banking infrastructure. By initiating a payment through the Platform, you authorise TrailOps to instruct your linked bank account to transfer the specified amount to the designated vendor account.
You bear full responsibility for verifying vendor bank details before initiating any payment. TrailOps is not liable for payments made to incorrect accounts due to fraudulent vendor information provided by third parties or errors in details entered by your team.
We recommend enabling multi-step payment approval workflows and regularly verifying vendor bank information through a separate communication channel.
We aim to maintain 99.5% uptime for the Platform, measured monthly. Planned maintenance will be announced at least 24 hours in advance. We are not liable for losses arising from unplanned downtime, provided we take reasonable steps to restore service promptly.
The Platform, its design, code, trademarks, brand and all original content created by TrailOps remain our exclusive intellectual property. These terms do not grant you any rights to our intellectual property beyond the limited right to use the Platform as a subscriber.
Both parties agree to keep the other's confidential information — including pricing, business plans and non-public product details — strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
To the maximum extent permitted by Nigerian law, TrailOps's liability for any claim arising under these terms is limited to the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
TrailOps is not liable for:
You agree to indemnify and hold TrailOps harmless from any claims, damages or expenses (including legal fees) arising from: (a) your breach of these terms; (b) your violation of applicable law; or (c) any Content you upload that infringes a third party's rights.
Either party may terminate these terms with 30 days' written notice. TrailOps may terminate or suspend your account immediately for material breach of these terms, including non-payment, misuse of the Platform or illegal activity.
On termination, you may export your data via the Settings page. We will retain your data for 60 days post-termination before permanent deletion, unless a longer retention period is required by law.
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved by good-faith negotiation will be referred to arbitration in Lagos under the Arbitration and Conciliation Act (Cap A18, LFN 2004).
We may update these terms from time to time. We will give you at least 14 days' notice of material changes by email and by posting a notice on the Platform. Continued use after the effective date means you accept the updated terms.
